1. Agreement

These Terms of Service ("Terms") constitute a legal agreement between you (or the organization you represent) and Synapsium Labs ("SimpleStandup," "we," "us," "our"). By accessing or using SimpleStandup, you agree to these Terms. If you are using SimpleStandup on behalf of an organization, you represent that you have authority to bind that organization to these Terms.

2. Description of Service

SimpleStandup provides:

• An async standup platform where team members post daily updates instead of meeting
• AI-generated insights about team patterns, blockers, and progress
• An action tracking system derived from standup content
• Optional integrations with Slack and Microsoft Teams for submission and notifications
• An administrative dashboard for managing teams, members, and settings

Successful delivery of the Service means the features listed above are accessible to you and your authorized users and operate as described in our documentation. SimpleStandup does not promise specific business outcomes — improved team productivity, reduced meeting time, behavioral changes among teammates, or any particular insight quality. AI-generated content is provided as observations to inform your team's decisions (see Section 7), not as guaranteed deliverables.

3. Account Registration

To use SimpleStandup, you must:

• Authenticate via Google Sign-In or your organization's SSO provider
• Provide accurate account information
• Be at least 18 years old (or the age of majority in your jurisdiction)

You are responsible for maintaining the security of your account and for all activities that occur under your account. Notify us immediately at support@simplestandup.com if you suspect unauthorized access.

4. Your Data

4.1 Ownership

You retain all rights, title, and ownership of the content you submit to SimpleStandup, including standup text, comments, and any other material you provide. SimpleStandup does not claim ownership of your content.

4.2 What We Store

We store the data necessary to provide the service, including:

• Account information (email, display name, organization membership)
• Standup entries (the text you submit)
• AI-generated insights and actions derived from your standups
• Comments, reactions, and other interactions
• Integration metadata (Slack workspace info, Microsoft Teams tenant info, where applicable)
• Configuration settings (team timezones, deadlines, reminder preferences)

4.3 License to Operate the Service

You grant SimpleStandup a limited, non-exclusive license to process the content you submit solely for the purpose of providing the service to you and your organization — including storing it, displaying it to your teammates, generating AI insights, and delivering it through your chosen integrations. We do not use your content to train general-purpose AI models, and we do not sell your content to third parties.

5. Acceptable Use

You agree not to:

• Use SimpleStandup to violate any applicable law or regulation
• Post content that is unlawful, harassing, threatening, defamatory, or invades another person's privacy
• Attempt to circumvent security controls, permission policies, or rate limits
• Interfere with or disrupt the service or its infrastructure
• Reverse engineer, decompile, or disassemble any part of the service
• Resell or redistribute access to the service without our written consent
• Use the service to compete directly with SimpleStandup

We reserve the right to suspend or terminate accounts that violate these terms.

6. Subscription and Billing

6.1 Free Trial

We offer a free trial period. During the trial, you have full access to the service. No credit card is required to start a trial. We will not charge you without your explicit consent.

6.2 Paid Plans

After the trial, continued use requires a paid subscription. Subscription fees are billed monthly or annually per active seat (user) via Stripe. Prices are listed on our pricing page and may change with 30 days notice.

6.3 Payment

All payments are processed by Stripe. By subscribing, you authorize us to charge your payment method on a recurring basis. You are responsible for keeping your payment information current.

6.4 Cancellation

You may cancel your subscription at any time through the billing portal. Upon cancellation:

• Your subscription remains active through the end of the current billing period
• No refunds are issued for partial billing periods
• You may export your data through the dashboard while your account is active

6.5 Suspension for Nonpayment or License Compliance

We may suspend or restrict your access to the Services at any time for nonpayment of fees, breach of these Terms, or any other lawful reason at our sole discretion. Continued use of the Services beyond your subscribed seat count constitutes your agreement to pay for the additional seats at our then-current rates.

6.6 Disputes and Chargebacks

If you have a billing concern, contact us at billing@simplestandup.com before disputing with your card issuer. We will work in good faith to investigate any billing error and correct it. All sales are final; credits or refunds, when issued, are at our sole discretion.

Initiating a chargeback or payment dispute without first contacting us is a breach of these Terms and grounds for immediate suspension or termination of the Service under Section 12. We may also challenge the chargeback with documentation of the access you received.

7. AI-Generated Content

SimpleStandup generates insights, summaries, and suggested actions using AI models (currently provided by Google Cloud's Vertex AI). These outputs are inherently probabilistic and may be inaccurate, incomplete, or out of context. They are intended as observations to inform your team's discussions, not as authoritative judgments. You should:

• Treat AI-generated insights as starting points for human conversation, not as conclusions
• Verify any factual claim before acting on it
• Apply your own judgment to performance, behavioral, or interpersonal interpretations the AI may produce

We continuously work to improve the quality of insights, but we do not warrant the accuracy of any AI-generated output.

8. Service Level

8.1 Availability

We aim to maintain high availability but do not guarantee uninterrupted service. SimpleStandup depends on Google Cloud Platform, Firebase, Stripe, and other third-party services that are outside our control.

8.2 Maintenance

We may perform maintenance that temporarily affects availability. We will provide reasonable advance notice for planned maintenance when possible.

8.3 Support

Support is provided via email at support@simplestandup.com. Response times depend on your subscription tier.

9. Intellectual Property

SimpleStandup and its original content, features, and functionality are owned by Synapsium Labs and are protected by applicable intellectual property laws. Our trademarks may not be used without our prior written consent.

10. Limitation of Liability

To the maximum extent permitted by law:

• SimpleStandup is provided "as is" and "as available" without warranties of any kind
• We do not warrant that the service will be uninterrupted, error-free, or secure
• Our total liability for any claims arising from your use of the service is limited to the amount you paid us in the 12 months preceding the claim
• We are not liable for indirect, incidental, special, consequential, or punitive damages
• We are not liable for decisions made on the basis of AI-generated insights or summaries

11. Indemnification

You agree to indemnify and hold harmless Synapsium Labs from any claims, damages, or expenses arising from your use of the service, your violation of these Terms, or your violation of any third-party rights.

12. Termination

We may suspend or terminate your access to SimpleStandup at our discretion, including for breach of these Terms, nonpayment of fees, when required by law, or upon discontinuation of the service. If we discontinue the service entirely, we will provide at least 90 days notice. In other cases we will provide reasonable notice where practicable.

Upon termination, your right to use the service ceases immediately. You may export your data through the dashboard at any time while your account is active.

13. Changes to These Terms

We may modify these Terms from time to time. We will provide at least 30 days notice of material changes via email or through the SimpleStandup dashboard. Continued use after the effective date of changes constitutes acceptance. The current version of these Terms is identified by the version string at the top of this page.

14. Governing Law

These Terms are governed by the laws of the State of Delaware, United States, without regard to conflict of law provisions. Any disputes arising from these Terms shall be resolved in the state or federal courts located in Delaware.

15. Miscellaneous

• Entire Agreement — these Terms, together with the Privacy Policy and Data Processing Agreement, constitute the entire agreement between you and Synapsium Labs regarding SimpleStandup
• Severability — if any provision is found unenforceable, the remaining provisions remain in effect
• Waiver — failure to enforce any provision does not constitute a waiver of that provision
• Assignment — you may not assign your rights under these Terms without our consent. We may assign our rights in connection with a merger, acquisition, or sale of assets
